For new clients using this online service, Hollander and Company
LLC charges $1,000.00 as legal fee for basic formation of
a limited liability company. This fee includes:
- Telephone consultation with client, as appropriate
- Arranging for a search of available LLC names from those
proposed by you;
- Arranging for filing with the Secretary of State
- Arranging for proper completion of the Articles of Organization
- Arranging for proper designation and execution of Membership
- Completing and filing the application for Employer Tax
ID number, if appropriate.
Please note that, here too, filing fees
and other related costs vary from State to State, and are
additional to the legal fee set forth above. In forming Limited
Liability Companies, there is also often a publication fee.
These costs are passed on to our clients as disbursements
without markups or premiums.
For an additional charge to be agreed upon
in advance, Hollander and Company LLC will work with clients
in negotiating and customizing Member Operating agreements
and/or special By-laws modifications which may be desired
by the client.
Hollander and Company LLC reserves the right
to discontinue representation in the event of non-payment
of fees, conflict of interest or for other reasons which ethically
make withdrawal advisable in the opinion of the firm.
In the unlikely event that a dispute may
arise between the firm and you, we mutually agree that New
York State law shall control and that venue for any action
or proceeding will be exclusively maintained in a Court of
competent jurisdiction located in the borough of Manhattan,
City and State of New York.
